WorkSafeNB is seeking a Corporate Governance Counsel. Reporting directly to the Board for board-specific issues and to the President and CEO for all other matters, including administrative issues, the Corporate Governance Counsel provides functional leadership, sound advice, and recommendations to the Board of Directors in gaining and maintaining reasonable assurance that the Board is complying with the Commission’s corporate obligations, fiduciary duties, ensuring board effectiveness, and maintaining a culture of best practice in governance. This position can be located anywhere in the province of New Brunswick.

Your key areas of responsibility include:

• Managing the corporate governance framework for the Commission.
• Providing corporate secretarial services to the Board.
• Ensuring compliance with legislation and governance procedures by developing best practices for the Board.
• Monitoring the Commission’s (including Board) corporate compliance with statutes, by-laws, policies, directives and/or terms of reference.
• Assisting the Commission in the consultation, development, and management of legislative amendments.
• Being responsible for the overall structure of Board of Director meetings, materials and implementation of Board decisions, board evaluations and skills matrix.
• Leading the design of Board governance training, professional development, and Board orientation.
• Being a strong people leader.

You, as a successful candidate, possess:

• Must have a Law Degree (Juris Doctorate or LL.B.)
• 5-10 years’ experience providing corporate law advisory to medium or large sized organizations, including experience advising provincially appointed boards.
• Must be a member of the Law Society of New Brunswick.
• Must have solid knowledge of relevant acts, legislation, regulations.
• Possess a strong ability to identify where to delve deeper and whether the required expertise exists in-house or need to source externally.
• Knowledge and acumen on financial matters.
• Experience in regulatory/administrative law.
• Experience with business and corporate governance.
• Experience in Government relations.
• Strong oral and written communications.
• Experience with counsel organizations and the services they provide.
Written and spoken competency in English is required.

Pay Scale $125,843.54 to $148,050.58
